Effective [EFFECTIVE DATE — TO BE SET WHEN PUBLISHED]
This Agreement applies to anyone who uploads content to CINNEX as a creator. It governs what rights you keep, what you grant CINNEX, and exactly how revenue share works for each type of content. It supplements, and takes precedence over, the general Terms of Service for anything specific to your content.
You retain full ownership of everything you upload. Nothing in this Agreement transfers copyright to CINNEX. What you grant CINNEX is a license, described below — not a sale or assignment of your work.
By uploading content, you grant CINNEX a non-exclusive, worldwide, royalty-bearing (per the revenue share below) license to host, stream, publicly perform, reproduce (for hosting/encoding purposes), and promote your content on CINNEX and in CINNEX marketing (thumbnails, trailers, social clips, and similar promotional use of excerpts).
This license is non-exclusive by default: you're free to distribute the same content on other platforms. The only exception is content submitted under CINNEX's BLACKROOM program, which requires a separate, individually signed exclusivity agreement — the default license above does not grant CINNEX exclusivity.
By uploading, you represent and warrant that you own or control all rights necessary to submit the content and grant the license above — including underlying music, footage, images, likenesses, and any other third-party material it contains — or that you have a valid license permitting this use.
You're solely responsible for clearing music synchronization and master use rights, performer/likeness releases, and any other third-party rights your content requires. CINNEX doesn't independently verify these clearances; the rights declaration you complete at upload is your representation to us, not a substitute for you having actually secured the rights.
You agree to indemnify and hold CINNEX harmless from claims, damages, and costs (including reasonable attorneys' fees) arising from a breach of these warranties — for example, a copyright claim over content you represented as fully cleared.
Pay-Per-View (PPV) content: Creator receives 85% and CINNEX retains 15% of the gross amount a viewer pays for that specific purchase, before any payment-processor fees are deducted from CINNEX's share. This split is calculated automatically at the time of each transaction through our payment processor, Stripe, and is active today for any content submitted as PPV.
BLACKROOM content: revenue terms are negotiated individually per project and set out in a separate signed agreement — there is no default percentage for Blackroom.
Standard-tier content (content included with a Standard/VIP/Annual VIP membership, not sold individually): CINNEX's intended model is an 80% Creator / 20% CINNEX share of a pooled revenue amount, distributed proportionally based on viewer watch-time. As of this Agreement's effective date, this pooled watch-time distribution system has not yet launched, and Standard-tier content is not yet generating payouts under it. If you upload Standard-tier content today, you're doing so with the understanding that payouts under this model begin once the system is live, and CINNEX will notify creators in advance of that launch.
Payouts for revenue owed to you are issued via Stripe Connect once you've connected a payout account from your Creator Dashboard. [PAYOUT SCHEDULE AND ANY MINIMUM THRESHOLD TO BE DEFINED AND ADDED HERE ONCE FINALIZED.]
Uploaded content is reviewed before it goes live — either by CINNEX's automated review process or a human reviewer, depending on your account's review history. Review is typically completed within a couple of days, though CINNEX doesn't guarantee a specific turnaround time.
CINNEX may remove or restrict content that violates this Agreement, the Terms of Service, or applicable law (including a valid DMCA notice — see our DMCA & Copyright Policy), or that receives enough user reports to trigger review. Removal for a legal or policy violation doesn't entitle you to compensation for revenue the content might otherwise have earned.
This Agreement applies for as long as you have content on CINNEX. You can request removal of your content at any time from your Creator Dashboard. CINNEX may terminate a creator's ability to upload for repeated or severe violations of this Agreement, the Terms of Service, or applicable law.
We may update this Agreement from time to time, including as new monetization systems (like the Standard-tier watch-time pool described above) actually launch. Material changes will be reflected by an updated effective date, and we'll make reasonable efforts to notify active creators of changes that affect revenue share.
